Terms of service

These draft terms describe the standard NewCo website offer. Your accepted proposal or order form will identify the exact scope, plan, price, timing, and any agreed changes. If it conflicts with these terms, the accepted proposal controls for that project.
Offer, eligibility, and prices
The $0 build offer applies only to an eligible Care or Growth hosting plan and is subject to scope, qualification, and available build capacity. The minimum hosting term is 6 months. The current advertised floor is $149 per month and the minimum total commitment is $894 including GST. Your order form must state the actual monthly price and minimum total beside the offer. Unless expressly stated otherwise, consumer-facing prices include GST. If NewCo is not yet GST-registered, the owner must update the pricing treatment before launch and must register when New Zealand law requires it.
The free-build scope is a templated four-to-six-page site with one revision round. Online stores, portals, web apps, substantial migrations, access recovery, and other custom work are separately scoped and quoted.
Project start and client responsibilities
Any delivery estimate starts only after we have the agreed content, approvals, domain control, access details, and other intake items. You are responsible for supplying accurate factual claims, approving final copy, and confirming that you have rights to all content, imagery, trademarks, and data you provide. Client delay moves the delivery dates accordingly.
Ownership and licences
- Your domain, client-supplied content, customer data, and brand assets remain yours from day one.
- Bespoke design, bespoke code, and approved final content become yours when the minimum term is completed or the agreed handoff fee is paid.
- NewCo retains its pre-existing scaffold, reusable components, methods, and tooling. You receive a durable licence to use those parts as incorporated into your site.
- Third-party assets and services remain subject to their own licences. Their transferability and any ongoing fees will be identified in the proposal and export checklist.
Nothing in these terms allows us to withhold your domain, client-supplied content, customer data, or brand assets.
Minimum term and early cancellation
You may cancel on notice. If you cancel during the 6-month minimum term, the early-cancellation fee is the unpaid balance of the disclosed minimum commitment, calculated at the monthly plan price in your order form. It declines as payments are made: after one monthly payment, five monthly payments remain; after two, four remain; after three, three remain; after four, two remain; after five, one remains; and after six, no minimum-term cancellation fee remains. Any separately agreed handoff fee or unpaid completed work remains payable. We will not charge more than the unrecovered build-cost basis stated in the order form.
Payment, notice, and suspension
Invoices are due on the date stated in the order form. Before suspending hosting or support for non-payment, we will give written notice describing the overdue amount and at least 10 working days to cure it. Suspension will be proportionate and will not prevent you from recovering your domain or customer data. We may act sooner only where necessary to address an urgent security or legal risk, and will explain the action as soon as reasonably possible.
Support, third-party services, and changes
Your plan states the included support minutes, response target, backup retention and recovery objectives, usage limits, and overflow rate. It does not include unlimited edits. Third-party service charges and usage overages are passed through only as disclosed. Scope changes require your approval and may change price or timing.
Defects, warranties, and statutory rights
We include a 30-day defect-correction service for work that does not meet the accepted scope. That service window is not a limit on remedies under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or other rights that cannot lawfully be excluded. Any in-trade contracting-out must be written, fair, reasonable, and expressly agreed; these standard terms do not themselves contract out of statutory protections.
We do not guarantee search rankings, advertising results, uninterrupted third-party services, or immunity from security incidents. We will use reasonable care and skill and will not describe a site as unhackable.
Exit and export
On exit, and once amounts properly due are paid, we will provide the items applicable to your project: the source repository, site assets and content, environment and configuration instructions, a customer-data export, DNS information, and the transfer status of domains, integrations, licences, and third-party accounts. We will identify anything that cannot be transferred and the reason before handover.
